01Agreement to Terms

These Terms & Conditions of Sale (the “Terms”) govern all quotations, orders, and sales of products (“Products”) by [COMPANY LEGAL NAME], doing business as Vutton Peptides (“Vutton Peptides,” “we,” “us”), to any customer (“Purchaser,” “you”). By submitting an order, creating an account, or otherwise purchasing from us, you accept these Terms in full.

These Terms are the complete and exclusive statement of the agreement between the parties with respect to the Products. Any additional or conflicting terms in a purchase order, acknowledgement, or other Purchaser document are rejected and have no effect unless accepted in a writing signed by an authorized representative of Vutton Peptides.

If you do not agree to these Terms, you may not order or use the Products.

02Research Use Only Certification

This section is a material condition of every sale. By placing an order, the Purchaser expressly certifies, represents, and warrants each of the following:

1. All Products are purchased and will be used solely for in-vitro laboratory research conducted by qualified professionals.
2. The Products will not be administered to humans or animals, in any amount, by any route, under any circumstance, and will not be used for any diagnostic, therapeutic, clinical, food, cosmetic, or in-vivo purpose.
3. The Purchaser is at least 21 years of age and is affiliated with a research institution, laboratory, or comparable qualified organization, and is authorized to purchase research materials on its behalf.
4. The Purchaser is qualified, trained, and equipped to handle, store, and dispose of research chemicals safely and lawfully, and accepts full responsibility for doing so.
5. The Products will not be resold, redistributed, repackaged, relabeled, or otherwise transferred to any person or entity that has not agreed to equivalent restrictions, and will not be offered to the general public.
6. The Purchaser will comply with all applicable federal, state, local, and international laws and regulations, and with all institutional policies and approvals governing its research.

A breach of this Section 2 is a material breach of these Terms, voids all warranties, and terminates any right to purchase from Vutton Peptides.

03Purchaser Eligibility

Products are offered only to purchasers who meet the eligibility conditions in Section 2. We do not knowingly sell to individuals under 21 years of age, to consumers purchasing for personal use, or to any person or entity appearing on an applicable restricted-party or denied-party list.

Vutton Peptides may require, at any time, evidence of institutional affiliation, a valid research or business account, tax documentation, or a signed research-use declaration as a condition of sale. Providing false information in connection with an order is a material breach of these Terms.

Products may not be available in every jurisdiction. The Purchaser is solely responsible for confirming that its receipt and use of the Products is lawful in its jurisdiction.

04Products and Specifications

Products are supplied as laboratory research materials against the specification stated on the product label and any documentation accompanying the shipment. Formats and other specifications listed on the site are nominal and are superseded by the documentation supplied with the specific lot shipped.

Catalog numbers and vial formats displayed on this site may be placeholders and may change without notice. Product images and illustrations are representative only.

Vutton Peptides makes no representation regarding the suitability of any Product for any particular research protocol; the Purchaser is solely responsible for evaluating and validating the Products for its intended in-vitro research use.

05Orders, Pricing, and Payment

All orders are subject to acceptance by Vutton Peptides. Prices are quoted in [CURRENCY], are exclusive of taxes, duties, and shipping charges, and may be changed at any time before acceptance. Obvious pricing or description errors may be corrected, and affected orders cancelled, at any time.

Payment terms are [PAYMENT TERMS — e.g., payment in full at time of order, or net [30] days for approved institutional accounts]. The Purchaser is responsible for all applicable sales, use, VAT, and similar taxes, and for any import duties or customs charges. Late amounts may accrue interest at [RATE]% per month or the maximum rate permitted by law, whichever is lower.

06Shipping, Title, and Risk of Loss

Unless otherwise agreed in writing, Products are shipped [SHIPPING TERM — e.g., FCA our facility (Incoterms® 2020)]. Title and risk of loss pass to the Purchaser upon [tender to the carrier / delivery], and delivery dates are estimates only.

Temperature-sensitive Products are shipped with insulated packaging and coolant appropriate to the expected transit time. The Purchaser is responsible for receiving shipments promptly and for inspecting them on arrival. Claims for shortage, visible damage, or non-conformity must be submitted in writing within [10] days of delivery, with supporting documentation and the lot number.

Vutton Peptides is not responsible for delays or degradation caused by carrier handling, customs inspection, refused or undeliverable shipments, incorrect delivery information supplied by the Purchaser, or failure to receive and store the Products promptly on arrival.

07Storage and Handling

The Purchaser is solely responsible for storing, handling, using, and disposing of the Products in accordance with the product label, applicable safety documentation, and all applicable laws and institutional requirements.

Products must be handled only by personnel trained in the safe handling of laboratory research chemicals and only in an appropriately equipped laboratory environment. Any warranty is void where storage or handling conditions have not been maintained.

08Returns, Refusals, and Cancellation

Because the Products are research materials whose condition cannot be established once they leave our custody, all sales are final and Products are not returnable, except where a Product is confirmed by Vutton Peptides to be non-conforming to its stated specification at the time of shipment and a timely claim has been made under Section 6.

Where a valid non-conformity claim is confirmed, the Purchaser's sole and exclusive remedy is, at our option, replacement of the affected Product or a refund of the purchase price paid for it. Do not return any Product without prior written authorization.

Vutton Peptides may cancel any order, in whole or in part, at any time before shipment, for any reason, including suspected non-compliance with Section 2. In that event our sole obligation is to refund amounts paid for the cancelled items.

09No Medical or Health Claims

The Products are not drugs, foods, dietary supplements, medical devices, or cosmetics, and are not offered or sold as such. They have not been evaluated or approved by the U.S. Food and Drug Administration or by any comparable regulatory authority.

No statement made by Vutton Peptides — on this site, in the catalog, in correspondence, or otherwise — is intended to describe, and none shall be construed as describing, any effect of any Product in humans or animals, or as a claim that any Product may be used to diagnose, treat, cure, mitigate, or prevent any disease or condition.

No employee, agent, distributor, or representative of Vutton Peptides is authorized to make any such statement, and any such statement, if made, is unauthorized and may not be relied upon.

The products are not intended for human or veterinary use. Nothing in these terms, on this website, or in any accompanying documentation constitutes medical advice or a recommendation for the use of any product in or on a human or animal body.

10Limited Warranty and Disclaimer

Vutton Peptides warrants only that, at the time of shipment, each Product conformed in material respects to its stated specification. This limited warranty runs solely to the original Purchaser, is non-transferable, and extends for [30] days from the date of delivery.

This warranty does not apply to any Product that has been stored or handled contrary to Section 7, reconstituted, altered, repackaged, relabeled, combined with other materials, or used contrary to these Terms.

Except for the limited warranty expressly stated in this section, the products are provided “as is” and “with all faults,” and Vutton Peptides disclaims all other warranties, express, implied, or statutory, including without limitation any implied warranty of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or any warranty arising from course of dealing or usage of trade. Vutton Peptides does not warrant that the products are safe or suitable for any use other than in-vitro laboratory research.

11Limitation of Liability

To the maximum extent permitted by applicable law, Vutton Peptides and its officers, directors, employees, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, goodwill, research results, or substitute goods, arising out of or relating to the products or these terms, under any theory of liability — contract, tort (including negligence), strict liability, or otherwise — even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, the total aggregate liability of Vutton Peptides arising out of or relating to the products or these terms shall not exceed the amount actually paid by the purchaser to Vutton Peptides for the specific product giving rise to the claim.

Vutton Peptides shall have no liability whatsoever for any loss, injury, illness, death, or damage arising from any use of a product in or on a human or animal body, or from any other use contrary to these terms or the product label. The purchaser assumes all such risk in full.

These limitations apply notwithstanding the failure of any limited remedy of its essential purpose. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to a given Purchaser; in that case liability is limited to the greatest extent permitted by law.

12Indemnification

The Purchaser shall defend, indemnify, and hold harmless Vutton Peptides and its officers, directors, employees, agents, and affiliates from and against any and all claims, demands, actions, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• the Purchaser's use, handling, storage, transfer, resale, or disposal of any Product;
• any breach of the Research Use Only certification in Section 2 or of any other provision of these Terms;
• any administration of a Product to a human or animal, whether by the Purchaser or by any third party; and
• the Purchaser's violation of any applicable law, regulation, or third-party right.

13Prohibited Uses

The Purchaser shall not, and shall not permit any third party to:

• administer, ingest, inject, inhale, apply, or otherwise introduce any Product into a human or animal body;
• use any Product for any clinical, diagnostic, therapeutic, food, feed, cosmetic, or in-vivo purpose;
• resell, repackage, relabel, or redistribute any Product to consumers or to the general public;
• represent, advertise, or imply that any Product is a drug, food, supplement, cosmetic, or medical device, or that it has any effect in humans or animals;
• remove, obscure, or alter any label, lot identifier, or research-use-only statement; or
• use any Product in violation of any applicable law, regulation, or institutional requirement.

Any use contrary to the product label or these Terms is strictly prohibited and is undertaken entirely at the Purchaser's own risk and liability.

14Regulatory and Export Compliance

The Purchaser is responsible for compliance with all laws and regulations applicable to its purchase, import, possession, and use of the Products, including customs, controlled-substance, biosafety, transport, and workplace safety requirements.

Products may be subject to export control laws and regulations. The Purchaser shall not export, re-export, or transfer any Product in violation of applicable export control or sanctions laws, or to any restricted or denied party, or to any embargoed destination.

15Intellectual Property

All content on this site — including text, layout, graphics, catalog identifiers, and the Vutton Peptides name and marks — is owned by or licensed to [COMPANY LEGAL NAME] and may not be reproduced, distributed, or used without prior written permission.

Sale of a Product conveys no license, express or implied, under any patent, trademark, copyright, or other intellectual property right, other than the right to use the specific quantity supplied for in-vitro laboratory research in accordance with these Terms.

16Governing Law and Disputes

These Terms are governed by the laws of [STATE / COUNTRY], without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Continued use of the site or placement of further orders constitutes acceptance of the revised Terms.
